1. Acceptance of Terms
By accessing or using the Brickell Wallstreet Launch Pad (the "Platform"), operated by Brickell Wallstreet Capital, 848 Brickell Ave, Miami, FL 33131, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. The Platform
The Platform is a marketplace where entrepreneurs, developers, startups, nonprofits, inventors, and real estate sponsors ("Sponsors") showcase projects to investors, lenders, strategic partners, and the public, and where visitors may make financial pledges to campaigns. Brickell Wallstreet Capital is not a broker-dealer, investment adviser, or funding portal unless explicitly stated for a specific offering, and does not provide investment, legal, or tax advice.
3. Campaign Approval
All campaigns are subject to review and approval by Brickell Wallstreet Capital before publication. We may approve, reject, suspend, or remove any campaign at our sole discretion, including after publication, without liability.
4. Pledges and Payments
Pledges are processed securely through our payment processor. By making a pledge you authorize us to charge your payment method for the pledged amount. Unless a campaign states otherwise, pledges are contributions and do not constitute the purchase of securities, equity, or a guaranteed return. Campaign-specific terms (including refund, escrow, or all-or-nothing conditions) will be disclosed on the campaign page and control where they conflict with these Terms.
5. Sponsor Responsibilities
Sponsors are solely responsible for the accuracy of their campaign content, the use of funds raised, and the delivery of any promised rewards, returns, or outcomes. Brickell Wallstreet Capital does not guarantee any campaign's performance, outcome, or use of proceeds.
6. Fees
Platform and payment processing fees, if any, will be disclosed before you complete a transaction or publish a campaign. Fees are non-refundable except as required by law.
7. Prohibited Conduct
You may not use the Platform for fraud, money laundering, misrepresentation, unlawful securities offerings, or any illegal activity. We may report suspected unlawful activity and cooperate with law enforcement.
8. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We may suspend or terminate accounts that violate these Terms.
9. Limitation of Liability
To the maximum extent permitted by law, Brickell Wallstreet Capital is not liable for indirect, incidental, or consequential damages, or for losses arising from any campaign, pledge, investment decision, or use of the Platform. All opportunities involve risk, including the possible loss of the entire amount pledged or invested.
10. Changes and Contact
